Terms of Service

These Terms of Service (“Terms”) govern your access to and use of https://www.bidsource.io and related marketing pages operated by BidSource Technologies, Inc (“BidSource,” “we,” “us,” or “our”). By accessing the Site, you agree to these Terms. If you do not agree, do not use the Site.

These Terms apply only to our public website and marketing content. They do not replace master service agreements, order forms, or other contracts that govern paid BidSource products and services. If there is a conflict between these Terms and a signed customer agreement, the customer agreement controls for that product relationship.

You may use the Site for lawful business purposes only. You agree not to:

• Interfere with or disrupt the Site or its infrastructure
• Attempt unauthorized access to systems or data
• Scrape, harvest, or copy Site content at scale without permission
• Use the Site to send spam or malicious content
• Misrepresent your identity or affiliation when contacting us

The Site, including text, graphics, logos, software, and other materials, is owned by BidSource or its licensors and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from Site materials except as allowed by these Terms or with our prior written consent.

“BidSource” and related marks are trademarks of BidSource Technologies, Inc. You may not use our marks without permission.

The Site may link to third-party services such as scheduling tools (for example, Calendly) or our application subdomain. Those services are governed by their own terms and privacy policies. We are not responsible for third-party content or practices.

THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIDSOURCE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIDSOURCE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITY, ARISING FROM YOUR USE OF THE SITE. OUR TOTAL LIABILITY FOR CLAIMS RELATED TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).

You agree to defend, indemnify, and hold harmless BidSource from claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your misuse of the Site or violation of these Terms.

We may update the Site or these Terms from time to time. The “Last updated” date reflects the latest revision. Continued use of the Site after changes constitutes acceptance of the updated Terms.

These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict-of-law principles, unless applicable law requires otherwise. Courts located in Delaware will have exclusive jurisdiction over disputes arising from these Terms or the Site, except where prohibited by law.
